1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the Shopify applications, SaaS products, websites and related services (collectively, the “Services”) operated by WebContrive Technologies Pvt Ltd, trading as Nexfal.

By installing an app, creating an account or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Description of Services

Nexfal provides Shopify applications and SaaS tools designed to help merchants grow, including but not limited to:

  • Rivyo – Product reviews, loyalty programs, Q&A and referrals.
  • Rebolt Bundle – Product bundles, volume discounts, and post-purchase upsells 
  • Wishlist Club – Wishlists, back-in-stock alerts, and price drop notifications.
  • Editly – Self-service order editing, cancellations, and address updates.
  • Addup Checkout – Checkout customization, upsells, and custom checkout rules.
  • Quickhunt – Live chat, AI customer support, and helpdesk automation.
  • Utterbond – Subscription management, recurring payments, and customer portals.

Any additional SaaS products or tools offered under the Nexfal brand.

3. Account Registration

To use the Services you must have a valid Shopify store. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to provide accurate, current and complete information and to notify us immediately of any unauthorised access.

4. Billing, Pricing and Payments

Pricing for each app or SaaS product is displayed on its listing or pricing page. Where billed through the Shopify App Store, Shopify’s billing terms apply. For SaaS products billed directly, the following rules apply:

  • Subscription fees are charged in advance on a recurring basis (monthly or annually).
  • All fees are non-refundable except as required by applicable law or as explicitly decided by the Nexfal.
  • We may change pricing with 15 days' notice. Continued use after the price change constitutes acceptance.
  • Free trials, if offered, convert to a paid subscription at the end of the trial period unless cancelled.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of Shopify’s Terms of Service.
  • Reverse-engineer, decompile or attempt to extract the source code of any app.
  • Resell, sublicence or redistribute the Services without prior written consent.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Transmit malicious code, spam or fraudulent content through the Services.
  • Scrape, harvest or collect data from other users without their consent.

6. Intellectual Property

All code, designs, trademarks, logos and content comprising the Services are owned by or licensed to WebContrive Technologies Pvt Ltd. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. Nothing in these Terms transfers ownership of any intellectual property to you.

7. Your Data and Content

You retain ownership of all data and content you submit through the Services. By using the Services, you grant us a limited licence to access, process and display your data solely to operate and improve the Services. Our handling of personal data is governed by our Privacy Policy.

8. Service Availability and Modifications

We aim to maintain high availability but do not guarantee uninterrupted service. We may modify, suspend or discontinue any Service (or any feature within it) at any time, with reasonable notice where practicable. We are not liable for any downtime, modification or discontinuation.

9. Termination

You may stop using the Services or uninstall an app at any time. We may suspend or terminate your access if you violate these Terms, upon reasonable notice where possible. On termination, your right to use the Services ceases immediately. Sections that by their nature should survive (intellectual property, limitation of liability, indemnification) will survive termination.

10. Disclaimers

The Services Are Provided “As Is” and “As Available” Without Warranties of Any Kind, Express or Implied, Including Merchantability, Fitness for a Particular Purpose, and Non-Infringement. We do not warrant that the services will be error-free, secure, or available at all times.

11. Limitation of Liability

To the maximum extent permitted by law, WebContrive Technologies Pvt Ltd. and its directors, employees and affiliates shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of revenue, profits, data or business opportunity arising out of or related to the services.

12. Indemnification

You agree to indemnify and hold harmless WebContrive Technologies Pvt Ltd, its officers, directors, employees and agents from any claims, damages, losses or expenses (including legal fees) arising from your use of the Services or violation of these Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Surat, Gujarat, India.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or an in-app notification at least 15 days before they take effect. Continued use of the Services after the updated Terms are posted constitutes acceptance.
